Welcome to Quiet Wisdom.

By accessing, browsing, creating an account, purchasing a subscription, purchasing a one-time service, or otherwise using Quiet Wisdom (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

You must be at least eighteen (18) years old to create or own an account.

By creating an account, purchasing services, or using the Service, you represent and warrant that you meet the eligibility requirements described in these Terms.

2. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials.

You agree to provide accurate, current, and complete information and to keep such information updated.

You are responsible for all activities that occur under your account.

You must promptly notify us of any unauthorized use of your account or suspected security breach.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms or may pose a risk to the Service, its users, or third parties.

3. Acceptable Use

You agree not to:

• Violate any applicable law.
• Use the Service for fraudulent, deceptive, misleading, or unlawful purposes.
• Harass, threaten, abuse, intimidate, or harm others.
• Upload malicious software or harmful content.
• Attempt unauthorized access to accounts, systems, or data.
• Interfere with the operation, security, or availability of the Service.
• Circumvent usage limits or security measures.
• Infringe intellectual property or privacy rights.
• Use the Service in a manner that could damage or impair the Service.

We reserve the right to investigate violations and take appropriate action.

4. Service Availability

The Service is provided on an “as available” and “as provided” basis.

We may modify, suspend, restrict, discontinue, replace, or remove any portion of the Service at any time.

We do not guarantee uninterrupted availability or error-free performance.

5. Intellectual Property

The Service, including its software, design, branding, trademarks, graphics, content, reports, features, and technology, is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, reverse engineer, decompile, create derivative works from, lease, license, sell, or exploit any portion of the Service without prior written permission.

All rights not expressly granted are reserved.

6. User Content and Uploads

The Service may allow users to upload birth information, dream descriptions, notes, journal entries, documents, and other content.

You retain ownership of your content.

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, transmit, and use such content solely for the purpose of providing, maintaining, improving, and securing the Service.

You represent and warrant that you have the necessary rights to all uploaded content.

7. Content Removal and Copyright (DMCA)

We respect the intellectual property rights of others and expect users to do the same. We may remove or disable access to any content that we believe, in our sole discretion, violates these Terms, infringes the rights of others, or may expose the Service or its users to liability. If you believe that content available through the Service infringes a copyright you own or control, you may submit a written notice to our designated contact at support@quietwisdom.app. To be effective, your notice should include:

• Identification of the copyrighted work you claim has been infringed.
• Identification of the material you claim is infringing, with enough detail for us to locate it.
• Your contact information, including name, address, telephone number, and email address.
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
• Your physical or electronic signature.

We may remove allegedly infringing material, notify the affected user, and, where appropriate, provide a process to submit a counter-notice. We may terminate the accounts of users who are determined to be repeat infringers.

8. Termination

We may suspend, restrict, or terminate your access to the Service if you violate these Terms or misuse the Service.

Termination does not affect rights or obligations accrued prior to termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless the Service and its affiliates from claims arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of third-party rights.
• Content submitted by you.

12. Governing Law

These Terms shall be governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles.

13. Dispute Resolution and Arbitration

Informal Resolution. Before initiating any formal proceeding, you agree to first contact us at support@quietwisdom.app and attempt to resolve the dispute informally. We will attempt in good faith to resolve any dispute within sixty (60) days of receiving such notice.

Binding Arbitration. If the dispute is not resolved informally, you and Quiet Wisdom agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration, rather than in court, except as otherwise provided below. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Arizona, or may be conducted by telephone, video, or written submissions where permitted by the AAA rules. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver. You and Quiet Wisdom agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions. Either party may bring an individual action in small-claims court for disputes within that court’s jurisdiction. Nothing in this section prevents either party from seeking injunctive or equitable relief in court for the alleged infringement or misuse of intellectual property rights.

30-Day Right to Opt Out. You may opt out of this arbitration agreement and class action waiver within thirty (30) days of first accepting these Terms by sending written notice to support@quietwisdom.app with the subject line “Arbitration Opt-Out,” including your name and the email address associated with your account. If you opt out, neither party will be required to arbitrate, and disputes will be resolved in the courts identified in the Governing Law section. Opting out of arbitration does not affect any other provision of these Terms.

14. Subscriptions and Billing

Certain features require payment.

Subscriptions automatically renew unless canceled before the next billing date.

The Service may also offer one-time purchases, reports, readings, consultations, voice sessions, or premium content.

We reserve the right to modify pricing, plans, features, and offerings at any time.

15. Cancellation and Auto-Renewal

Automatic Renewal. Paid subscriptions automatically renew at the end of each billing period (for example, monthly or annually) at the then-current price for that plan, unless you cancel before the renewal date. By purchasing a subscription, you authorize us or our payment processor to charge your payment method on a recurring basis until you cancel.

How to Cancel. You may cancel your subscription at any time through your account settings, or by contacting support@quietwisdom.app. If you purchased your subscription through a third-party app store (such as the Apple App Store or Google Play), you must manage and cancel that subscription through the relevant app store, in accordance with its rules.

Effect of Cancellation. When you cancel, your subscription remains active until the end of the current paid billing period, and it will not renew afterward. You will continue to have access to paid features until that period ends. Cancellation does not entitle you to a refund for the current or any prior billing period, except as required by law or as described in the Refund Policy.

Price Changes. We may change subscription prices from time to time. If a price change applies to your subscription, we will provide notice in advance, and the new price will take effect on your next renewal. If you do not agree to the new price, you may cancel before the renewal date.

16. Credits and Top-Off Purchases

Quiet Wisdom may utilize a credit-based system for certain features. Credits may be consumed when using voice conversations, readings, reports, dream interpretations, premium AI features, or other services. Credit requirements may change over time. Credits have no cash value, are non-transferable, and may not be redeemed for cash. Promotional credits may be modified, revoked, or expire as disclosed at the time of issuance. Top-off purchases are final once credits have been applied to an account.

17. Automatic Credit Replenishment

If Quiet Wisdom offers automatic credit replenishment, users may authorize automatic purchases when account balances fall below a selected threshold. Users may disable such features if available. Any auto-purchased credits are subject to the same credit and refund policies described in these Terms.

18. Promotional Offers

Quiet Wisdom may offer promotional trials, free calls, bonus credits, discounts, or other limited-time offers. We reserve the right to modify, suspend, or terminate promotional offers at any time. Eligibility for promotional offers is determined solely by Quiet Wisdom.

19. Refund Policy

All subscription fees and one-time purchase fees are non-refundable.

No refunds or credits will be provided for:

• Partial billing periods.
• Unused time.
• Unused features.
• Early cancellation.
• Completed readings or delivered reports.
• Changes in feature availability.

If you believe you were charged in error, including duplicate charges or incorrect billing, please contact support. Verified billing errors will be corrected promptly. Nothing in this policy limits any non-waivable refund or cancellation rights you may have under applicable law.

20. AI Features and AI Usage Limits

The Service may utilize artificial intelligence to generate readings, interpretations, summaries, reports, recommendations, dream analyses, personality insights, relationship insights, spiritual guidance content, and similar outputs.

AI-generated content may be inaccurate, incomplete, outdated, misleading, offensive, or unsuitable for your circumstances.

You are solely responsible for evaluating and verifying all AI-generated content.

Additional fees may apply for usage exceeding plan limits.

21. AI-Generated Readings

Certain readings, interpretations, reports, summaries, forecasts, dream analyses, relationship insights, spiritual guidance, recommendations, and other content may be generated wholly or partially using artificial intelligence.

AI-generated content may be inaccurate, incomplete, inconsistent, outdated, misleading, offensive, or unsuitable for a user’s specific circumstances.

Users should independently evaluate and verify all AI-generated content before relying upon it.

AI-generated content is provided solely for informational and entertainment purposes and should not be considered factual, authoritative, or professional advice.

The Service is intended for entertainment purposes only.

22. Voice Conversations

Voice conversations are generated through artificial intelligence systems. Users acknowledge they are communicating with software and not a human advisor. Voice conversations may be transcribed, summarized, analyzed, stored, and used to generate future memory and personalization features. Quiet Wisdom is not an emergency service, crisis hotline, or substitute for professional assistance.

23. Memory Features

The Service may retain information shared by users to improve future interactions. Memories may be summarized, categorized, archived, modified, or deleted. Users acknowledge that memory features may not be complete or perfectly accurate and should not be relied upon as an exact record of prior conversations.

24. Analytics and Tracking Technologies

We may use cookies, analytics tools, monitoring systems, performance measurement tools, and related technologies to operate and improve the Service.

25. Communications

By creating an account or using the Service, you consent to receive communications regarding:

• Account activity
• Billing
• Security
• Service updates
• Support
• Administrative notices

You may opt out of promotional communications where permitted by law.

26. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

27. Data Retention and Deletion

We retain your account information and content for as long as your account is active or as needed to provide the Service, and thereafter as necessary to comply with our legal obligations, resolve disputes, prevent fraud and abuse, and enforce these Terms.

Depending on where you live, you may have rights regarding your personal information, including the right to access, correct, delete, or obtain a copy of certain data, or to restrict or object to certain processing. These rights may arise under laws such as the California Consumer Privacy Act (as amended by the CPRA) and the European Union General Data Protection Regulation (GDPR), among others.

You may delete your account at any time through your account settings or by contacting support@quietwisdom.app. When you delete your account, we will delete or de-identify your personal information from our active systems within thirty (30) days, except where we are permitted or required to retain it by law (for example, certain payment and transaction records).

Residual copies may remain in encrypted backups and logs until they are overwritten in the ordinary course, during which time they are not used for any other purpose. Details on how to exercise your rights are provided in our Privacy Policy.

28. Data Loss Disclaimer

You are responsible for maintaining backups of important information.

We are not responsible for the loss, corruption, deletion, destruction, alteration, or unavailability of uploaded content or account data.

29. Third-Party Services

The Service may integrate with payment processors, artificial intelligence providers, analytics providers, hosting providers, communication providers, and other third-party services.

We are not responsible for their availability, performance, security, content, policies, or actions.

30. Mobile Applications and App Store Terms

If you download or use a Quiet Wisdom mobile application from a third-party platform such as the Apple App Store or Google Play (each, an “App Provider”), your use is also subject to that App Provider’s applicable terms.

You acknowledge that these Terms are between you and Quiet Wisdom only, and not with any App Provider, and that the App Provider is not responsible for the application or its content. The App Provider has no obligation to provide maintenance or support for the application. To the extent permitted by law, the App Provider is not responsible for addressing any claims relating to the application, including product liability, legal or regulatory compliance, or intellectual property claims.

You represent that you are not located in a country subject to an applicable government embargo and are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable third-party terms when using the application. The App Provider, and its subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you.

31. General Provisions

Changes and Notices. We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email or through a notice within the Service, before the changes take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or the failure, interruption, or unavailability of third-party services, hosting providers, or AI providers on which the Service depends.

Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Quiet Wisdom regarding the Service and supersede any prior agreements. In the event of a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy controls with respect to that subject matter.

Survival. Provisions that by their nature should survive termination will survive, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, and these General Provisions.

32. Severability

If any provision is found unenforceable, the remaining provisions shall remain in effect.

33. No Waiver

Failure by us to enforce any provision shall not constitute a waiver.

34. Astrology and Spiritual Content

The Service provides astrology, dream interpretation, symbolic analysis, numerology, personality insights, relationship insights, spiritual content, and related informational materials.

All content provided through the Service is offered solely for informational, educational, self-reflection, personal growth, and entertainment purposes.

The Service does not guarantee the accuracy, completeness, reliability, or outcome of any reading, interpretation, report, forecast, recommendation, or prediction.

Users acknowledge that astrology, dream interpretation, numerology, spiritual guidance, and similar content are subjective in nature and may not be supported by scientific evidence.

The Service is intended for entertainment purposes only.

35. No Professional Advice

All content, readings, reports, interpretations, forecasts, guidance, recommendations, and other materials provided through the Service are offered solely for informational and entertainment purposes.

The Service does not provide legal, medical, psychological, psychiatric, therapeutic, financial, investment, relationship counseling, or other professional advice.

Users should consult appropriately qualified professionals regarding important decisions affecting their health, finances, relationships, legal matters, employment, education, or personal circumstances.

No content provided by the Service should be relied upon as a substitute for professional advice.

The Service is intended for entertainment purposes only.

36. Crisis and Emergency Situations

If you are experiencing a medical emergency, mental health crisis, risk of self-harm, risk of harm to others, or any situation requiring immediate assistance, contact emergency services or an appropriate crisis resource immediately. Quiet Wisdom is not designed to provide emergency intervention.

37. User Responsibility

Users remain solely responsible for their decisions, actions, conduct, and outcomes.

Any decisions made based on readings, reports, interpretations, forecasts, recommendations, AI-generated content, or other information provided through the Service are made entirely at the user’s own discretion and risk.

We are not responsible for any consequences, losses, damages, or outcomes arising from a user’s reliance upon content provided through the Service.

Users acknowledge that the Service is intended for informational and entertainment purposes only.

38. Limitation Regarding Predictions

The Service does not guarantee future events, outcomes, compatibility, success, relationships, personal growth, spiritual development, financial results, health outcomes, or life circumstances.

Any references to possible future events, trends, opportunities, challenges, compatibility, timing, or outcomes are speculative in nature and should not be interpreted as guarantees, promises, factual statements, or assurances of future results.

Users acknowledge that predictions, forecasts, interpretations, and similar content are inherently uncertain and may not occur as described.

All predictions, forecasts, and interpretive content are provided solely for informational and entertainment purposes.

The Service is intended for entertainment purposes only.
